Terms of Service

Effective August 12, 2026

These Terms of Service ("Terms") govern your use of the website, memberships, nonclinical coaching, educational content, administrative coordination, communications, and related services offered by Meridian Performance Health LLC ("Meridian," "we," "us," or "our") (collectively, the "Services").

These Terms do not govern clinical care, prescribing, genetic testing, laboratory processing, pharmacy services, or other products and services independently provided through third-party organizations. Those services are governed by the third party's own terms, privacy notices, informed consents, refund rules, and other documentation presented in its portal, order process, or service environment.

By accessing or using the Services, creating an account, purchasing a membership, or accepting these Terms electronically, you agree to these Terms and acknowledge Meridian's Privacy Policy. A signed Membership Agreement and the specific offer presented at enrollment also apply to membership Services. If a signed Membership Agreement conflicts with these Terms concerning a membership, the Membership Agreement controls for that issue.

Please review carefully the sections concerning automatic monthly renewal, cancellation and refunds, Meridian's nonclinical role, disclaimers, limitation of liability, indemnification, and dispute resolution.

1. Scope of the Services

Meridian provides nonclinical health, fitness, nutrition, performance, and wellness coaching; educational information and content; accountability; program planning; and administrative coordination with independent third-party platforms and service providers. Depending on the selected offering, the Services may include a white-labeled coaching environment, assessments, educational materials, videos, reports, messaging, scheduling, general wellness recommendations, membership support, and coordination of access to independently provided testing, products, or professional services.

The exact features, enrollment fee, monthly price, billing schedule, and eligibility requirements of a membership are described in the offer presented at enrollment and the Membership Agreement. Features may differ by membership tier and may depend on participation, eligibility, third-party availability, and applicable law.

What to Expect

After enrollment, you may be asked to provide information about your goals, preferences, lifestyle, exercise activity, nutrition, habits, limitations, and other information relevant to nonclinical coaching. Meridian may use this information to develop or adjust a practical coaching strategy and to help you organize resources around your goals.

Where a selected offering includes access to independent testing or another third-party service, you may receive an account invitation, ordering instructions, kit, requisition, or portal access from the applicable third party. You are responsible for completing that organization's registration, consents, eligibility requirements, and instructions. Results and protected reports remain within the originating third-party portal. You must access and download your own reports through your individual login.

Meridian may view an authorized report inside an originating partner or affiliate portal and may discuss general, nonclinical coaching implications with you. Meridian follows a no-download rule and will not download, store, upload, or retransmit medical laboratory reports, raw genetic files, or genetic reports through the coaching environment, ordinary email, text message, or Meridian's general website systems. If you cannot access a report, Meridian may direct you to or contact the applicable platform's support team.

2. Meridian Is Nonclinical; Independent Clinical Services

Meridian is not a medical practice and does not provide medical or nursing services. Meridian does not diagnose disease, prescribe medication, order clinical treatment in its own name, provide emergency care, or establish a physician-patient relationship through Meridian coaching or website use. Meridian coaches and administrative personnel do not independently interpret laboratory or imaging results for diagnosis or treatment.

Any medical evaluation, diagnosis, prescription, laboratory order requiring licensed authority, treatment decision, or clinical follow-up is performed solely by an independent licensed healthcare professional or medical entity responsible for that service. Meridian does not employ, direct, or control the independent professional judgment of those clinicians. No specific clinician, prescription, medication, laboratory order, diagnosis, treatment, or clinical outcome is guaranteed.

Information, coaching, assessments, content, and general discussions provided through Meridian are educational and are not a substitute for individualized medical advice. Consult an appropriately qualified healthcare professional before changing medication, treatment, supplements, diet, or physical activity when medically appropriate. If you believe you are experiencing an emergency, call 911 or seek immediate emergency care. Do not use Meridian messaging, website forms, email, or the coaching environment for emergencies.

3. Eligibility and Member Responsibilities

Meridian offers its nonclinical Services nationwide within the United States, subject to program availability, third-party availability, eligibility requirements, and applicable law. The Services are intended for adults age 18 or older who can enter into a binding agreement. By using the Services, you represent that you satisfy these requirements and agree to:

  • Provide accurate and complete information and promptly correct material changes.
  • Use only your own identity, accounts, samples, results, payment method, and membership unless you are legally authorized to act for another person.
  • Maintain current billing and contact information.
  • Protect usernames, passwords, devices, and portal access and promptly report suspected unauthorized access.
  • Follow applicable safety instructions and consult an appropriate licensed professional when needed.
  • Use the Services lawfully, respectfully, and consistently with these Terms and applicable platform rules.
  • Access and retain your own copies of third-party reports before an account, product access period, or membership ends.

Personalized workout, nutrition, habit, and wellness strategies depend on the information you provide. You are responsible for disclosing relevant injuries, physical limitations, food allergies, dietary restrictions, medications, and other circumstances that could affect safe participation; reviewing recommendations for ingredients or activities that may be unsuitable for you; stopping an activity that causes concerning symptoms; and obtaining medical clearance when appropriate. Meridian is not responsible for harm caused by materially inaccurate or incomplete information you provide or by your failure to follow appropriate professional guidance, except to the extent responsibility cannot lawfully be limited.

4. Membership Fees, Automatic Renewal, Cancellation, and Refunds

Fees and Automatic Monthly Renewal

Prices, enrollment fees, monthly charges, included Services, and billing timing are disclosed in the applicable offer and Membership Agreement. By purchasing a recurring membership, you authorize Meridian and its payment processor to charge the payment method provided for the disclosed enrollment amount, recurring monthly membership fee, selected products or Services, applicable taxes, and other amounts you expressly authorize.

Unless canceled in accordance with these Terms and the Membership Agreement, the membership automatically renews each month on or about the same calendar date, and the recurring monthly fee will be charged without a separate invoice. Meridian will provide advance notice of material price or renewal changes where required by applicable law. A failed payment may result in suspension or termination of access, and you remain responsible for amounts properly incurred before the effective cancellation date.

Cancellation Procedure and 14-Day Deadline

You may cancel your recurring Meridian membership by sending written notice to billing@meridianperformancehealth.com. Include your full name and the email address associated with the membership and use the subject line "Membership Cancellation." Cancellation is complete when Meridian sends written confirmation. Keep that confirmation for your records.

If Meridian receives the cancellation request at least fourteen (14) calendar days before the next scheduled billing date, the next monthly charge will not be processed and access will end at the close of the current paid membership period. If the request is received fewer than fourteen (14) calendar days before the next scheduled billing date, the next monthly charge will be processed, access will continue through that additional paid period, and cancellation will take effect before the following renewal. This timing applies except where applicable law requires a different result.

Deleting an application, stopping participation, removing a payment method, disputing a charge, or notifying an independent third-party provider does not cancel a Meridian membership. Meridian may provide an equivalent or easier cancellation method where required by law.

No-Refund Policy

ALL ENROLLMENT FEES, MEMBERSHIP FEES, AND OTHER AMOUNTS PAID DIRECTLY TO MERIDIAN ARE NONREFUNDABLE AFTER THE ORDER IS ACCEPTED, EXCEPT WHERE A REFUND IS REQUIRED BY LAW OR THE CHARGE RESULTED FROM A VERIFIED MERIDIAN BILLING ERROR. Enrollment begins Meridian's administrative work, reserves coaching capacity, activates platform access, and may cause Meridian to incur nonrecoverable product, testing, or vendor costs. Nonuse, missed sessions, failure to complete testing, dissatisfaction with a report or result, a third-party eligibility decision, or failure to use available features does not create a right to a refund.

Products or services purchased directly from an independent third party are governed by that organization's cancellation, return, reshipment, and refund terms. Meridian cannot issue a refund for money it did not collect.

Order Acceptance and Pricing Errors

An automated receipt or order confirmation acknowledges that Meridian received an order; it does not require Meridian to accept an order that contains a material pricing, description, availability, eligibility, or technical error. Before fulfillment begins, Meridian may correct an obvious error, decline or cancel the affected order, or request your approval of corrected terms. If Meridian cancels an amount it collected because of such an error, Meridian will return that amount as required by law. Meridian will not use this provision to change the agreed price after accepting and beginning proper fulfillment of an error-free order.

5. Accounts, Platform Access, and Internet Use

You are responsible for the compatible device, internet connection, browser, application access, and other equipment needed to use the Services. Meridian uses reasonable efforts to keep its website and coaching environment available, but access may be interrupted by maintenance, updates, telecommunications failures, third-party outages, cybersecurity events, or circumstances outside Meridian's control.

Accounts are personal and may not be shared. You are responsible for activity under your credentials and for protecting your devices and passwords. Meridian is not responsible for the security or reliability of your personal internet connection, email account, device, or independently controlled platform.

6. Limited License and Intellectual Property

Subject to these Terms, Meridian grants you a personal, limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Services and Meridian content for your own lawful, noncommercial purposes during the applicable access period.

Meridian and its licensors retain all rights in Meridian names, logos, branding, assessments, frameworks, coaching materials, plans, videos, text, graphics, downloads, templates, website design, and other content. You may not copy, republish, sell, sublicense, redistribute, modify, scrape, frame, mirror, reverse engineer, create derivative works from, or commercially exploit the Services or content without prior written permission. This restriction does not transfer ownership of your own Personal Information or materials you lawfully provide.

Membership access, testing kits arranged through Meridian, personalized plans, reports, program materials, promotional offers, and other products or access rights are provided for the purchaser's personal use and may not be resold, transferred, sublicensed, or used to provide services to another person unless Meridian or the responsible third party expressly authorizes it in writing.

7. Acceptable Use

To protect members, Meridian, and the systems used to provide the Services, you may not:

  • Violate any applicable law, regulation, court order, contract, privacy right, publicity right, or intellectual-property right.
  • Impersonate another person, submit another person's sample or records without lawful authority, or provide materially false or misleading information.
  • Share account credentials, permit unauthorized access, or attempt to access another person's account or information.
  • Upload malware, interfere with service operation, impose an unreasonable load, bypass security, probe vulnerabilities, scrape data, use unauthorized bots, or defeat access controls.
  • Archive, reproduce, distribute, display, publish, license, sell, or commercially exploit Meridian content except as expressly permitted.
  • Upload medical records, laboratory reports, raw DNA files, genetic reports, prescription records, provider notes, Social Security numbers, or insurance records to the coaching environment, ordinary email, text messages, or general website forms.
  • Use the Services for emergency care, unlawful medical activity, harassment, threats, abuse, intimidation, fraud, or other harmful conduct.
  • Assist another person in conduct prohibited by these Terms.

Meridian may investigate suspected misuse and suspend or terminate access where reasonably necessary to protect members, systems, third parties, or Meridian.

8. Communications and Electronic Records

By providing an email address or other contact information, you consent to receive electronic communications needed to administer inquiries, purchases, accounts, memberships, coaching, scheduling, billing, security, policies, and legal notices. You represent that the contact information provided belongs to you or that you are authorized to use it.

You may opt out of promotional email through the unsubscribe instructions or by contacting support@meridianperformancehealth.com. Consent to promotional communications is not required to purchase. Opting out of marketing does not stop transactional, account, billing, security, or legal communications necessary to provide or administer the Services.

You consent to electronic agreements, records, notices, and signatures and agree that electronic records satisfy legal writing requirements where permitted. You are responsible for retaining copies. Withdrawal of electronic-delivery consent may make some Services unavailable but does not affect the validity of prior agreements or communications.

9. Privacy and Sensitive Information

Meridian handles Personal Information as described in its Privacy Policy. Independent third-party portals and service providers maintain separate privacy practices. Do not submit medical reports, raw genetic files, genetic reports, prescription information, Social Security numbers, insurance information, or other highly sensitive records through Meridian's general website forms, ordinary email, text messages, or coaching environment. Use the originating secure portal and its support process.

10. Independent Third-Party Services and Links

The Services may refer or link you to independent coaching technology, genetic-testing affiliates, medical-wellness technology or administrative platforms, medical groups, clinicians, laboratories, pharmacies, payment processors, fulfillment providers, shipping carriers, and other organizations. The identity of the applicable organization will be disclosed in its portal, checkout, consent, order process, or service documentation rather than listed as a comprehensive public vendor directory in these Terms.

A link, referral, integration, preferred relationship, affiliate relationship, or coordinated-service arrangement does not make the third party Meridian's employee or give Meridian control over its professional judgment, privacy practices, security, platform operations, eligibility decisions, product quality, shipping, laboratory processing, pharmacy fulfillment, or other conduct. You use independent products, portals, and services subject to their own agreements and at your own risk.

11. Affiliate and Compensation Disclosure

Meridian may receive commissions, referral compensation, administrative fees, wholesale-retail margins, or other financial benefits when a user purchases certain eligible products or services through Meridian's links, affiliates, preferred network, or coordinated relationships. This compensation may influence which options Meridian presents. It does not control the independent professional judgment of a licensed clinician, and no clinical service, treatment, or prescription is guaranteed.

12. Results, Testimonials, and Assumption of Risk

Health, fitness, nutrition, genetic, laboratory, supplement, medication, and wellness outcomes vary. Testimonials, examples, statistics, and case discussions illustrate individual experiences or general information and do not guarantee typical or future results. Meridian does not promise a specific health, weight, performance, financial, medication, or clinical outcome.

Physical activity, dietary changes, supplements, and wellness programs involve risks, including soreness, injury, adverse reaction, or aggravation of an existing condition. You voluntarily choose to participate, accept the ordinary and reasonably foreseeable risks of nonclinical coaching activities, remain responsible for working within your abilities, and agree to obtain professional medical clearance when appropriate. Nothing in these Terms waives liability that cannot lawfully be waived.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." MERIDIAN DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. MERIDIAN DOES NOT WARRANT THAT INFORMATION OR CONTENT WILL BE COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR MEDICAL OR PERSONAL DECISION.

References to third-party products or services do not constitute a clinical endorsement or warranty. Meridian is not responsible for independently controlled websites, portals, clinical decisions, laboratory or pharmacy performance, product quality, shipping, or third-party security and privacy practices.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, REVENUE, PROFITS, OR OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON CONTENT, THIRD-PARTY SERVICES, PLATFORM INTERRUPTION, OR UNAUTHORIZED ACCESS OUTSIDE MERIDIAN'S REASONABLE CONTROL, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN'S TOTAL LIABILITY ARISING FROM A MEMBERSHIP OR PAID SERVICE WILL NOT EXCEED THE AMOUNTS PAID DIRECTLY TO MERIDIAN DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A WEBSITE-ONLY CLAIM WHERE NO AMOUNT WAS PAID, TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Meridian and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, and reasonable costs arising from your unlawful conduct, material breach of these Terms, infringement of another person's rights, misuse of an account or the Services, or submission of another person's information without lawful authority. This section does not require indemnification for Meridian's own negligence or misconduct to the extent such an obligation is prohibited by law.

16. Suspension and Termination by Meridian

Meridian may suspend or terminate access for nonpayment, fraud, misuse, harassment, safety concerns, unlawful activity, a material breach of these Terms or the Membership Agreement, or conduct that threatens members, third parties, systems, or Meridian. Meridian may also discontinue an offering upon reasonable notice. Termination does not eliminate obligations or charges incurred before the effective date. If Meridian ends a prepaid period without cause and without providing a substantially similar Service, Meridian will provide any remedy required by applicable law.

17. Force Majeure

Meridian is not responsible for delay or failure caused by events beyond its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, pandemic, war, terrorism, civil disorder, labor disruption, government action, embargo, transportation interruption, utility or telecommunications failure, cyberattack, internet outage, vendor or platform failure, laboratory disruption, pharmacy delay, shipping interruption, or equipment failure. Meridian will use commercially reasonable efforts to resume affected Services when practicable.

18. Governing Law and Informal Dispute Resolution

Meridian serves members nationwide, but because Meridian Performance Health LLC is organized and based in Missouri, these Terms are governed by Missouri law, without regard to conflict-of-law principles. This governing-law provision does not limit the states in which Meridian may provide nonclinical Services. Before filing a legal claim, you and Meridian agree to provide written notice describing the dispute and attempt in good faith to resolve it informally for at least thirty (30) days. Send a notice to support@meridianperformancehealth.com with the subject line "Legal Dispute Notice."

Unless applicable law requires otherwise, a court proceeding must be brought in a state or federal court with jurisdiction over Henry County, Missouri. Either party may bring an eligible claim in small-claims court.

19. Changes to These Terms

Meridian may update these Terms to reflect changes in law, technology, vendors, or business practices. The revised Terms will display a new effective date. Meridian will provide additional notice and obtain affirmative consent for material changes affecting an active recurring membership where required by applicable law. Changes do not retroactively alter a dispute that arose before the revised Terms became effective unless both parties agree.

20. General Provisions

These Terms, Meridian's Privacy Policy, the applicable Membership Agreement, the offer accepted at enrollment, and any expressly incorporated program terms form the entire agreement concerning the applicable Meridian Services. Independent third-party terms remain separate agreements between you and the third party. If a provision is unenforceable, it will be modified only as necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign your account or rights without written permission. Meridian may assign these Terms in connection with a financing, reorganization, merger, sale, or transfer of its business, subject to applicable law. Headings are for convenience and do not alter meaning. Provisions that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, liability limits, indemnification, disputes, and general provisions.
